CITYSCAPE INTELLIGENCE WEBSITE TERMS OF USE
1 INTRODUCTION
1.1 This page (together with the documents referred to on it) tells you the terms of use ("Terms of Use") on which you may make use of our website www.cityscapeintelligence.com ("site"), whether as a guest or a registered user. Please read these Terms of Use carefully before you start to use the site. By using our site, you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, please refrain from using our site.
2 INFORMATION ABOUT US
2.1 Our site is operated by IIR Holdings Limited trading as IIR Middle East, part of the Informa Group ("we", "our", "us"). We are registered under the laws of Dubai and have our business address at 3rd Floor, Sultan Centre, P.O. Box 21743, Dubai, United Arab Emirates.
3 ACCESSING OUR SITE
3.1 Access to our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice. We will not be liable if for any reason our site is unavailable at any time or for any period.
3.2 From time to time, we may restrict access to some parts of our site, or our entire site, to users who have registered with us.
3.3 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.
3.4 You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these Terms of Use, and that they comply with them.
4 INTELLECTUAL PROPERTY RIGHTS
4.1 For the purposes of these Terms of Use, "intellectual property" means patents, inventions, know how, trade secrets and other confidential information, registered designs, copyrights, database rights, design rights, rights affording equivalent protection to copyright, database rights and design rights, semiconductor topography rights, trade marks, service marks, logos, domain names, business names, trade names, moral rights, and all registrations or applications to register any of the aforesaid items, rights in the nature of any of the aforesaid items in any country or jurisdiction, rights in the nature of unfair competition rights and rights to sue for passing off.
4.3 We are the owner or the licensee of all intellectual property rights in our site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
4.4 You may print off one copy, and may download extracts, of any page(s) from our site for your personal reference and you may draw the attention of others within your organisation to material posted on our site.
4.5 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
4.6 Our status (and that of any identified contributors) as the authors of material on our site must always be acknowledged.
4.7 You must not use any part of the materials on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
4.8 If you print off, copy or download any part of our site in breach of these Terms of Use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
5 RELIANCE ON INFORMATION POSTED
5.1 Commentary and other materials posted on our site are not intended to amount to advice on which reliance should be placed. We will try to ensure that information and content on the site is accurate but please note that all information and content on the site is provided on an "as is" basis and you assume total responsibility and risk for your use of information and content on the site. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents.
6 SITE CHANGES
6.1 We aim to update our site regularly, and may change the content at any time. If the need arises, we may suspend access to our site, or close it indefinitely. Any of the material on our site may be out of date at any given time, and we are under no obligation to update such material.
7 LIABILITY
7.1 The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy.
7.2 Nothing in these Terms of Use excludes or limits liability which cannot be excluded or limited by law.
7.3 Subject to clause 7.2, any indemnities, warranties, terms and conditions (whether express or implied) are hereby excluded to the fullest extent permitted by law.
7.4 Subject to clause 7.2, we will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent on negligent misrepresentations) or otherwise out of or in connection with these Terms of Use for any: (i) direct, indirect or consequential loss or damage incurred by you in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it; or (ii) economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or (iii) loss of goodwill or reputation; or (iv) special or indirect losses; or (iv) any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable suffered or incurred by you arising out of or in connection with these Terms of Use.
8 INFORMATION ABOUT YOU AND YOUR VISITS TO OUR SITE

9 TRANSACTIONS CONCLUDED THROUGH OUR SITE
9.1 Subscriptions concluded through our site are governed by the Cityscape Intelligence Subscription Terms and Conditions [insert hyperlink].
9.2 Subscription trials concluded through our site are governed by the Cityscape Intelligence Trial Terms and Conditions [insert hyperlink].
9.3 You may subscribe to our newsletter by completing the online registration. The newsletter is emailed to you weekly free of charge. If you wish to unsubscribe to the newsletter please let us know by clicking the "unsubscribe" link in the newsletter. We reserve the right to withdraw or suspend this service at any time without notice. We will not be liable if for any reason our newsletter is unavailable at any time or for any period. The terms of clause 7 shall apply to the newsletter.
9.4 If you qualify and choose to add your company profile to our Find a Company online database you may do this by completing the online form. Only company's with offices in the emerging markets and businesses of the type indicated on the online form are eligible to register on the Find a Company online database. Only subscribers to Cityscape Intelligence can access the details on the Find a Company online database. Please note that we do not guarantee that a company will be included in our Find a Company online database and at our option we may decide not to include, add or remove any company from the Find a Company online database. You warrant that the information you provide in connection with out Find a Company database is accurate and complete. IIR reserves the right without liability to remove any information which IIR reasonably considers does not comply with these terms.
9.5 Project Profiles are subject to acceptance by IIR and IIR reserve the right in its absolute discretion to reject any Project Profile without liability. Subject to the terms of this clause 9.5, Project Profiles will be published for a period of 12 months. You agree to pay the fees in respect of the Project Profile in accordance with our payment terms from time to time in force. Without prejudice to any other right that we may have, if you fail to pay the fees on the due date for payment, we shall be entitled to refuse to publish or to remove any Project Profile. You warrant that the project profile is accurate and complete. IIR reserves the right without liability to remove any Project Profile which IIR reasonably considers does not comply with these terms.
9.6 You warrant that the information you provide to us in respect of the Find a Company database and the Project Profiles does not infringe the intellectual property rights of any third party and that you are the owner or duly authorised licensee of such information. You shall indemnify us and keep us fully and effectively indemnified against all losses, claims, damages and expenses (including, without limitation, reasonable legal fees) incurred by us as a result of a third party claim that our receipt or use of the information constitutes an infringement of the intellectual property rights of any third party.
10 VIRUSES, HACKING AND OTHER OFFENCES
10.1 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.
10.2 By breaching this provision, you might commit a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
10.3 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.
12 LINKS FROM AND TO OUR SITE
12.1 Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
12.2 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must only establish links from your own website. Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice.
